Responsibilities :
- Conduct legal research and analysis to support the legal team and other stakeholders within the Group
- Draft and review a variety of legal documents, including agreements and tender documents
- Monitor, update and maintain legal database and corporate records, such as minute book, registers, agreements, etc., in compliance with applicable laws and regulations
- Coordinate with internal stakeholders and external legal counsel to ensure timely completion of tasks
- Provide full spectrum of company secretarial support and related documentation (including Board Minutes/Resolutions) for the Group and its subsidiaries incorporated in Hong Kong and different jurisdictions
- Organize and attend board and committee meetings, and annual general meetings, if necessary
- Assist in establishing, winding up and/or restructuring entities within the Group on a needed basis.
- Perform ad-hoc projects and provide administrative support as assigned, such as scheduling meetings and maintaining filing systems
- Staying up-to-date with changes in relevant laws and regulations to ensure compliance
Requirements :
- Degree in Legal, Accounting, Finance, or any related discipline
- A minimum of 3-4 years’ company secretarial or legal experience gained from in-house companies
- Associate Member of HKCGI
- Hands on experience in minutes taking and coordinating meetings
- Attentive to details, with strong common sense and an analytical mind, good at problem-solving
- Self-initiated, independent, and able to meet tight schedules and deadlines
- Proactive character and a team player, with the ability to create and maintain good working relationships with teammates and all levels of staff members from various business units and external parties
- Proficiency in written and spoken English and Chinese (proficiency in Japanese is an advantage)
- Proficiency in basic software (MS Word, Excel Spreadsheet, PowerPoint)
- Immediate availability is an advantage
